Terms of Use

These Terms of Use ("Terms") are an agreement between you and Aderyn Cadarn LLC, a Wyoming limited liability company ("we," "us," "our"), which runs Cash Buyer Circle. They cover our website, course, sample templates, emails, the Distressed Property Watch, the buyer email list (not open yet), and our YouTube channel (together, the "Service"). By using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

1. Who Can Use the Service

You must be 18 or older and able to enter a binding contract. By joining the buyer email list, you confirm that the information you give us is true and that you'll keep it up to date.

2. Education Only - Not Advice

Everything in the Service is general education about real estate wholesaling. It is not legal, tax, financial, accounting, or investment advice, and it is not advice about your situation. We are not a law firm, and using the Service, emailing us, or downloading a template does not create an attorney-client relationship or any other professional relationship. Talk to a licensed attorney, CPA, or other qualified professional before you act.

3. No Income Guarantees - Results Vary

We make no promise or guarantee that you will make any money. Real estate wholesaling involves real risk, including losing earnest-money deposits, marketing costs, and time. Many people never close a deal. Any numbers in our lessons, videos, or emails are hypothetical examples to explain the math, shown as [$X]. They are not results we or anyone else achieved, and they are not typical results. Your results depend on your market, effort, money, skills, and compliance with the law.

4. State Laws Vary

Wholesaling rules are different in every state and they change often. Some states require a real estate license or a wholesaler registration, and others require specific written disclosures to sellers and buyers. Our state summaries are a snapshot for education and may be incomplete or out of date. You are responsible for checking the official sources in your state and in the state where the property is located (statutes, the real estate commission, and other regulators), and for talking to a licensed attorney there before you sign, market, or assign any contract.

5. Sample Templates - Use at Your Own Risk

Any contracts, forms, letters, or checklists we provide are samples for education only. They were not prepared for your situation or your state and may not be legally valid or complete where you are. If you use or change a template, you do so at your own risk. Have a licensed real estate attorney in your state review any document before you use it.

6. Assignment Opportunities - Contract Interests Only

• Each assignment opportunity is offered only by the party that holds the purchase contract, who will be named in the notice. Aderyn Cadarn LLC does not market contracts held by anyone else.
• Assignment opportunities shared on the buyer email list (not open yet) are only properties under a signed purchase contract. Each one is offered by the contract holder as an assignment of the contract interest (the buyer's rights under that contract). It is not a listing of the property, and it is not an offer to sell real estate.
• We are not the owner of these properties. We are not a real estate brokerage, and we are not licensed real estate brokers, sales associates, or agents. We do not represent you, the seller, or anyone else in any transaction. The contract holder acts only for itself, as the buyer under its own contract.
• Any assignment happens only through a separate written assignment agreement signed by both sides. Nothing on this site or in our emails is a binding offer until that agreement is signed. An opportunity may be withdrawn, changed, or assigned to someone else at any time before then.
• The contract holder's assignment fee will be disclosed in writing and shown on the closing statement. Deposits are held by a title company or closing attorney, never by us. Closings are handled by a title company or closing attorney.
• All repair, value, and after-repair-value (ARV) numbers are estimates. They may be wrong.
• We never publish owner names, and we do not offer properties that are in foreclosure or subject to a lis pendens.
• Opportunities are sent to buyers based only on the buying criteria they gave us, without regard to race, color, religion, sex, disability, familial status, national origin, or any other protected class.
• Assignment opportunity details are confidential and for your own use as a buyer. Do not repost, advertise, or forward it to others.

7. Do Your Own Due Diligence

You alone decide whether to buy or take an assignment. Before you do, you are responsible for your own inspection, title search, repair estimates, valuation, financing, insurance, and legal and tax review. Do not rely on our estimates, research, or descriptions.

8. Distressed Property Watch - Public-Record Research

The Watch summarizes public government records, such as county tax-deed auction schedules, for education and market research. It is not an offer, solicitation, or listing, and we do not own or have contracts on those properties. It never includes owner names or foreclosure or lis pendens filings. Records may be incomplete or out of date, so check the official source. If you contact any property owner, you must follow all laws on calls, texts, mail, email, and fair housing, and you must not harass anyone.

9. Acceptable Use

When you use the Service, you agree not to:

• Break any law, including real estate licensing, consumer protection, fair housing, telemarketing, and anti-spam laws
• Use our content or the buyer list to harass, pressure, mislead, or discriminate against anyone
• Pretend to be us, or claim to be a licensed broker, agent, or attorney when you are not
• Re-advertise any assignment opportunity as a property listing or as a property you own
• Copy, scrape, or collect information from the Service or about other users, or send spam
• Upload viruses or harmful code, or try to break into or overload the Service
• Forward buyer email list messages or opportunity details to anyone else

10. Intellectual Property

The course, videos, text, templates, graphics, logo, and the name Cash Buyer Circle belong to us or our licensors. You may view them and use them for your own personal education, and you may use a sample template for your own deals at your own risk (see section 5). You may not sell, republish, or share our content, or use it to build a competing course or product, without our written permission. Links to government websites are provided for convenience; that material belongs to its owners.

11. Email Only - No Texts

We contact you by email only if you agree, and you can unsubscribe at any time using the link in every email. We do not send text messages. If you give us your phone number, we use it only to call you back about an opportunity you asked about. Our Privacy Policy explains how we handle your information and is part of these Terms.

12. Outside Sites and Services

The Service links to outside websites and relies on outside platforms, such as Cloudflare, YouTube, and government record sites. We don't control them and are not responsible for their content, accuracy, or availability.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the fullest extent the law allows, we make no warranties of any kind, express or implied, including that the content is accurate, complete, current, or fit for any purpose, or that the Service will be uninterrupted or error-free.

14. Limitation of Liability

To the fullest extent the law allows, we (and anyone working with us) will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost deposits, lost deals, or lost data, that come from your use of the Service or any transaction, even if we were told they were possible. Our total liability for any claim about the Service is limited to the greater of $100 or the fees you paid us in the 12 months before the claim (currently $0, since the course is free). Some states do not allow some of these limits, so they may not all apply to you. This section does not limit any rights you have under a separate signed assignment agreement.

15. Indemnity

You agree to defend and hold us harmless from any claims, losses, or costs (including reasonable attorney's fees) that come from your misuse of the Service, your breaking these Terms or the law, or your own real estate activities.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute about these Terms or the Service will be brought only in the state or federal courts located in Miami-Dade County, Florida, except that either party may bring an individual claim in small claims court where it qualifies.

17. Changes to the Service or These Terms

We may change or stop any part of the Service at any time. We may update these Terms; when we do, we will change the effective date above and, for important changes, post a notice on the site or email subscribers. If you keep using the Service after a change takes effect, you accept the updated Terms.

18. Termination

You can stop using the Service and unsubscribe at any time. We may suspend or end your access, including access to the buyer email list, if you break these Terms or misuse the Service. Sections 2 through 8 and 10 through 16 still apply after your access ends.

19. Other Terms

If any part of these Terms can't be enforced, the rest stays in effect. If we don't enforce a part right away, we haven't given up the right to enforce it later. These Terms and our Privacy Policy are the whole agreement between you and us about the Service, except for any separate signed assignment agreement, which controls for that transaction.
